Paralegal II, Corporate

Working closely with Lyft's in-house counsel and other teams, you will manage corporate governance and securities processes and projects. You should be a self-starter with a positive attitude who takes ownership of projects and works collaboratively with others.Responsibilities:Manage domestic and international corporate subsidiaries, including but not limited to: state/corporate registrations, registered agent relations, director and officer information, corporate approvals and record keeping, transaction execution, governance policies, and compliance processesAssist with SEC filings (including Section 16 reporting, proxy statements, Forms 8-K, 10-Q and 10-K), board/committee meeting preparation and materials, and annual stockholder meeting mattersManage scheduling and completing corporate governance and securities filingsAssist with M&A, financing and other strategic transactions, including providing due diligence support, data room management, and preparing and organizing deal documentsCoordinate with stock administration team to ensure proper management of equity planPartner with other teams within the company and external parties to ensure efficient workflow and handling of requestsDesign and execute refined processes to help Lyft continue to growManage other projects as assignedExperience:Bachelor's degree2+ years relevant legal experience - corporate goverance and securities laws, administrative, operations, project managementTop-tier law firm and/or public company in-house experience a plusA Paralegal certificate is a plus but not required for this positionExcellent communication skills, and customer obsessed approachTeam player who manages responsibilities as unexpected issues ariseCollaborative, with ability to cultivate cross-functional relationshipsExceptionally organized, efficient, detail-oriented, and articulateAbility to receive general direction and run projects independently in a timely manner with sound judgment and critical thinking skillsSense of humor, motivated, positive attitude, low ego, and a willingness to dive into new areasProficiency working in a Mac environment, and specifically with Google Apps (Gmail, Calendar, Docs, Sheets, Drive, etc.) as well as Microsoft Suite, Adobe, DocuSign, etc.Benefits:Great medical, dental, and vision insurance options with additional programs available when enrolledMental health benefitsFamily building benefitsChild care and pet benefits401(k) plan with company match to help save for your futureIn addition to 12 observed holidays, salaried team members have discretionary paid time off, hourly team members have 15 days paid time off18 weeks of paid parental leave.
