Corporate General Counsel

We own and operate all-inclusive resort-style, 55 and over independent living, retirement communities all across the nation. We are seeking an experienced Corporate General Counsel to work and report to our home office here in Lincoln, Nebraska!

The Corporate General Counsel will plan and direct the company’s legal affairs and ensure all business policies and activities are managed correctly and in compliance with current laws. Work closely with stakeholders throughout the business at all levels of the business providing practical legal guidance on a variety of legal projects related to leasing, contracting, employment matters, privacy, security, safety, real estate, construction and litigation.
Review changes to law and regulations and advise management about any impact to the business. Provide guidance and counsel to management on business transactions and initiatives. Lead the defense, either individually or through outside counsel as appropriate, of the organization in lawsuits and the prosecution of lawsuits on behalf of the organization against others. Ensure all company communications, contracts, policies, documents, filings and press releases undergo a legal review. Strive to achieve positive outcomes in tasks that will directly affect the company. May engage and coordinate with outside counsel for certain matters.
Key Duties & Responsibilities
Provide Legal advisement on all aspects of the company business and operations
Provide review and recommendations for response to legal claims filed against the company
Legal document review of all company contracts, documents, policies, filings and communications
Ability to negotiate in defense of the company or in advocacy for the company for the best legal, practical and effective outcomes
Responsible for staying current with the Regulatory Environment and ensuring company is planning and operating within regulatory guidelines
Responsible for Risk Management by Evaluating company’s exposure to legal concerns and advising management for reasonable and viable solutions including mitigation strategies and compliance to all state and federal rules, regulations and laws
Responsible for draft, review and negotiation of a wide variety of contracts, with emphasis in Contracting and Sub-contracting, partnership agreements, professional services agreements, real estate, commercial construction, as well as investor and financial agreements
Ability to prepare and present legal arguments on behalf of the company’s position
Supervise and manage outside counsel in relation to certain matters, including actively developing litigation strategy, overseeing, gathering, and preparing discovery production
Provide general advice and counsel on real estate matters including leases and subleases
Provide general legal advice on a variety of topics
Other projects as assigned
Qualifications
Juris Doctor degree from an accredit law school and admittance to any state bar in good standing
Ability to obtain Nebraska bar admission
Minimum 7+ years’ experience at a law firm with an emphasis in Real Estate Law with additional in-house experience preferred
Experience with Contracting and Employment litigation and disputes
Experience with litigation in construction and/or real estate matters is a plus
Knowledge of Real Estate Law including zoning and entitlement
Must be exceedingly well organized and detail oriented. Able to handle multiple priorities concurrently with strong project management skills.
Proficient in Microsoft office software including spreadsheets
Outstanding written and verbal communication skills
Excellent organization and negotiation skills

Ability to read English and perform basic math functions.
Ability to move, bend, twist, and kneel periodically.
Ability to travel periodically to communities.
