Counsel — Investment Management (NYC/NJ)

A high-growth investment firm is seeking a motivated attorney to join its legal team. This role offers a rare opportunity to work closely with the General Counsel and gain broad exposure across fund formation, corporate legal matters, governance, and regulatory compliance within a growing investment platform.Key ResponsibilitiesLead and support the formation and structuring of U.S. investment funds.Draft and review fund documentation, including offering materials and investor communications.Advise on corporate governance matters and support day-to-day corporate legal operations.Provide guidance on regulatory matters, including SEC compliance and AML frameworks.Work cross-functionally with finance, investor relations, and acquisitions teams on transactional and operational matters.Assist with ongoing regulatory filings, policies, and internal compliance initiatives.QualificationsJ.D. from an accredited law school and admission to practice law in good standing.Minimum of 2 years of experience in investment fund formation, ideally from a law firm or in-house legal department.Strong knowledge of U.S. securities laws and investment fund structures, including limited partnerships and REITs.Excellent drafting, analytical, and communication skills.Ability to work independently while collaborating effectively with cross-functional teams.For a more detailed discussion in confidence, please apply with your resume.
