Legal Director, Corporate and Capital Markets
Tala is seeking an experienced Corporate Counsel (Director level) to join our U.S. legal team. The ideal candidate will bring deep expertise in capital markets, complex commercial transactions, and corporate governance. This individual will play a critical role in supporting the company's business operations, strategic initiatives, and growth objectives by providing practical, business-oriented legal guidance across a broad range of corporate matters.What You'll DoProvide expert advice on a range of capital markets transactions in jurisdictions around the globe, including debt financings, loan origination partnerships, forward flows, stablecoin and crypto denominated facilities and other asset-based financingsDraft, review, and negotiate a wide range of legal documents, including commercial contractsAssist with corporate governance matters, board management, and ensure compliance with all corporate foundational documentsProvide counsel and assistance with equity management (e.g., administration of cap table and employee options)Serve as a key legal advisor on major business transactions, including fundraising rounds and joint venturesOversee due diligence processes and provide guidance on legal implications of business decisionsCollaborate closely with Finance, Capital Markets, Product and other cross‑functional teams to support business objectives and mitigate legal risksDevelop and implement policies and procedures to ensure the legal department operates efficientlyWhat You'll NeedJuris Doctor (JD) degree from an accredited law schoolAdmission to practice law in at least one U.S. state6 years of legal experience relevant to the role in a law firm or corporate settingProven track record of handling complex commercial transactionsStrong background in capital markets and corporate governanceExcellent analytical, negotiation, and communication skillsAbility to work independently and manage multiple priorities in a fast‑paced international environmentIn‑house experience in FinTech and/or working with emerging markets is a plusWe strongly believe that inclusion fosters innovation and we hire talented people regardless of race, religion, color, national origin, gender, gender expression, sexual orientation, age, marital status, veteran status, or disability status.
