Corporate Finance Associate
DarrowEverett LLP is looking for a highly motivated finance or Corporate Associate with 3-6 years of experience in debt finance transactions to join our growing practice. The ideal candidate will have experience representing both lenders and borrowers in sponsored and non-sponsored secured loan transactions, including senior secured facilities, mezzanine and subordinated debt transactions, multi-lender/syndicated credit facilities, and acquisition financing. Preference will be given to candidates with specific experience in leveraged lending, particularly representing private equity sponsors, as well as cash-flow lending and/or private credit finance. Consideration will also be given to candidates with experience representing borrowers in sophisticated commercial real estate credit facilities involving net-lease portfolio acquisitions and related financings. Candidates should have experience drafting, reviewing, and negotiating credit agreements, commitment letters, security agreements, legal opinions, and other closing deliverables. Candidates should be diligent, proactive, and team oriented with a strong academic background and superior drafting skills and will be eager to take on significant responsibility for deal management, client interaction, and work product.Role & Responsibilities:Represent banks, private lenders, and borrowers in complex commercial debt transactions Draft, negotiate, and review credit agreements, commitment letters, security agreements, legal opinions, and other closing deliverables Advise clients on regulatory compliance in connection with financial transactionsRepresent clients in negotiations and disputes related to financial transactionsConduct due diligence on financial transactions and provide risk analysis and mitigation strategiesWork closely with internal legal and compliance teams to ensure all transactions adhere to company policies and legal standardsMonitor and interpret changes in financial regulations, laws, and market trends, advising clients and internal stakeholders accordinglyProvide training and mentorship to junior attorneys and legal staffQualifications:Bachelor’s degree and J.D. Degree3+ years of continuous, specific, and verifiable commercial lending & finance experienceAbility to handle sensitive matters on a confidential basis.Licensed to practice law and in good standing in at least one of the following states RI, NY, MA, NC or FLA high degree of initiative, mature judgment, and discretionAbility to work collaboratively in a fast-paced, team-oriented environment.Preferred Qualifications:Experience working in-house or at a large law firm with a robust finance practicePhysical criteria:Ability to sit or stand for up to 8 hours a day.Ability to hear and respond to conversations professionally.Ability to use a mouse, keyboard.Ability to handle varying stress levels (low, moderate, high, very high) and maintain professional composure.Ability to lift and carry up to 25 pounds.
