FID Secured Lending, Structure and Execution Lawyer (ABS) - Vice President
Position Description
The FID Secured Lending Group ("FSL") is currently seeking a Structure and Execution Management lawyer to work on all aspects of executing secured financing transactions involving a broad array of asset classes, including esoteric ABS (data centers, fiber optic cable, whole business, net lease), unsecured consumer loans, transportation or other asset types and various forms of receivables. This includes working with bankers/originators, syndication and asset management teams, internal constituents in credit, legal, compliance, tax and accounting policy divisions and supervising outside counsel to help structure and execute transactions.
Primary Responsibilities
Manage legal and documentation issues that arise in connection with FSL transactions
Advise on structure of lending transactions, taking into account legal, franchise, regulatory, tax and other considerations
Identify, evaluate, and mitigate legal risks associated with collateral assets, lien perfection, and enforceability of security interests
Work closely with external counsel to prepare transaction documentation (repos, credit agreements, security agreements, servicing agreements, indentures, offering memorandums, NPAs, etc.)
Draft, review and negotiate term sheets, engagement letters and NDAs
Work closely with internal counsel to manage legal risks for FSL transactions
Lead documentation negotiations with clients
Liaise with various internal functions to facilitate funding of loans and settlement of transfers
Work with securitization/syndication teams to facilitate exit
Additional responsibilities:
Prepare material for and present to internal committees, FSL senior management, internal audit and regulators
Maintain documentation precedents and templates
Maintain best practices and internal policies and procedures
Skills Required
JD and admitted to the bar in any state
5+ years of experience in lending, corporate and/or capital markets experience at a major law firm or a large financial institution
Great familiarity with structured finance and secured lending transactions
Commercially driven
Excellent verbal and written skills and ability to communicate with senior management and clients
Ability to build effective working relationships and interact confidently with senior management and cross-functional teams
Proven leadership ability to manage and deliver on multiple projects under time pressure
Sound judgment and organizational skills, with the ability to manage competing priorities in a dynamic environment
Commercially minded and comfortable operating in a business-facing, fast-paced deal environment
