Counsel / Transactional RiskWe have been retained by a leading international law firm to identify a Counsel to join its Insurance Litigation and Coverage practice, with a focus on Transactional Risk. The role sits at the intersection of M&A deal execution, coverage and litigation — primarily advising insurance buyers and providers on the negotiation, coverage and recovery of representations & warranties insurance policies and related indemnification arrangements.You will review and negotiate RWI policies, advise on risk allocation provisions within SPAs, analyse coverage exclusions and retention structures, and ensure policy language aligns with the commercial objectives of each deal. The role demands strong technical fluency across both transaction documents and insurance mechanics, and the composure to operate effectively under signing timetables.The firm is open to two distinct profiles: a transactional lawyer with meaningful RWI insurance exposure from either an M&A or insurance coverage practice; or a current RWI market professional — from underwriting or broking — with prior top-tier law firm training, looking to pivot back into private practice in a specialist advisory capacity.Candidates should have several years of relevant experience, a strong academic background, and the ability to manage sophisticated counterparties across private equity and corporate deal teams. Experience analysing SPAs, disclosure schedules and diligence reports in the context of RWI placement is essential.This is a genuine platform role — advising at the forefront of the transactional risk market on complex domestic and cross-border deals, with the scope to build a distinctive niche practice within a strategically important growth area for the Firm.
