About The PositionThe person filling the position will be a senior member of Generate Capital’s legal team, reporting to and partnering closely with the Chief Legal Officer. This is a high-visibility, high-trust role designed for a seasoned lawyer who is ready to operate with significant autonomy and take genuine ownership of an expanding portfolio of legal responsibilities. The ideal candidate brings the credibility, judgment, and commercial instincts to become an indispensable part of the firm’s legal leadership—developing deep fluency across all dimensions of Generate’s business over time. Day-to-day, the role spans corporate governance and board matters, enterprise risk, compliance, and hands-on strategic transactional execution across M&A, capital formation, and strategic investments.What you will be doing at Generate Capital as the General Counsel/Deputy General Counsel:Partner with the Chief Legal Officer to provide strategic legal counsel to the CEO, executive team, and Board of Directors on all matters of corporate governance, risk, compliance, and strategic transaction executionLead and oversee all aspects of board governance, including preparation of board and committee materials, structuring of board authorizations, and management of corporate formalities across Generate and its subsidiariesDrive and support high-value strategic transactional work, including corporate M&A, strategic investments and equity raises,Take a leading role in supporting senior management and the in-house legal team in the pivot towards development work for large load energy customers, particularly data center customers who are facing challenges in connecting to the grid and are seeking innovative behind the meter, preferably green, energy solutionsManage enterprise risk across the legal department’s portfolio, including insurance programs, litigation oversight, and compliance with applicable regulatory requirementsSupervise, mentor, and develop the in-house legal team, helping to build toward Generate’s longer-term legal department vision of building out more expertise in project development and finance workManage relationships with outside counsel and direct work to appropriate external resources while maintaining cost disciplineServe as a strategic business partner—not just a legal advisor—by bringing commercial judgment and creative problem-solving to complex, often ambiguous situationsBuild deep institutional knowledge across all of Generate’s legal functions, developing the breadth and credibility to take on increasingly senior responsibility as the firm’s legal needs evolveCandidate Qualifications & Core CharacteristicsJD from an accredited law school and active bar membership; 15-20+ years of legal experienceMeaningful blend of large law firm training and in-house leadership (AGC, DGC, or GC level) at an energy company, infrastructure investor, or similarly complex organizationSignificant expertise in corporate governance, board management, and internal authorization frameworks; experience with board-level engagement is importantStrong transactional background in corporate M&A, equity investments, and capital formation—able to lead and execute deals with minimal outside supportExperience with energy project development (power generation, renewables, or data center infrastructure) and project finance strongly preferred; candidates from independent power producers or other energy infrastructure investors are of particular interestDemonstrated experience overseeing enterprise risk functions including insurance, compliance, and litigationWilling to roll up their sleeves—this is a hands-on role with significant individual contributor expectations alongside leadership responsibilitiesProven ability to work effectively across functions and build trusted relationships with senior executives and board membersA genuine interest in the energy transition and Generate’s mission to build reliable, affordable infrastructure that accelerates decarbonizationCollaborative leadership style with strong judgment under ambiguityGenerate’s compensation packages are dependent on the facts and circumstances of each case. Salary decisions take into account a wide variety of factors including, but not limited to: skill sets, experience and training, licensure and certifications, geographic location, and other business and organizational needs. A reasonable estimate of the base salary range for this role is $325,000–$400,000. In addition, the compensation package may include a discretionary bonus and other benefits, including health care benefits, retirement benefits, benefits permitting paid days off (including sick leave, parental leave, and paid time off or vacation benefits), and other benefits that must be reported for federal tax purposes.
