Attorney - Mid-Level Investment Management Associate (Private Funds Focus) - New YorkA highly regarded, mid-sized law firm with a premier investment management practice is seeking a partner-track mid-level associate (3-6 years) to join its New York office. The group represents leading sponsors across a broad spectrum of private investment strategies and offers a sophisticated practice comparable to top-tier firms, combined with a more flexible and sustainable platform.Role OverviewThis position is centered on private funds work, with an emphasis on sponsor-side representation. You will play a key role in structuring, forming, and operating private investment vehicles across strategies such as private equity, hedge funds, credit, venture capital, and hybrid funds.ResponsibilitiesLead and support the formation of private investment funds, including drafting and negotiating offering documents (PPMs, LPAs, subscription agreements, side letters)Advise sponsors on fund structuring considerations, including economic terms, governance, and regulatory positioningManage ongoing fund operations, including investor onboarding, transfers, and compliance mattersNegotiate side letters with institutional investors and address bespoke investor requirementsCoordinate closings and manage deal timelines across multiple stakeholdersWork closely with tax, regulatory, and compliance specialists on fund-related issuesCounsel clients on SEC, CFTC, and other regulatory requirements affecting private fundsAssist with GP and management company structuring, including carried interest and compensation arrangementsProvide strategic guidance to emerging managers and established sponsors alikeIdeal Candidate3-6 years of experience in private funds at a top law firmStrong familiarity with fund formation, sponsor representation, and investor negotiationsExcellent drafting, analytical, and organizational skillsAbility to manage multiple workstreams and interact directly with clientsCollaborative mindset with a proactive approach to problem-solvingPlatform & CompensationThis opportunity offers Cravath-scale compensation ($260,000 - $390,000) within a mid-sized firm environment, delivering top-of-market pay without the rigidity often associated with larger platforms.
