Job Description Corporate Associate Attorney – Public Companies & Governance (Minneapolis)Direct Counsel is seeking a Corporate Associate Attorney to join a premier law firm's Public Companies & Governance team in Minneapolis. This is an excellent opportunity to work with a nationally recognized practice advising public companies on securities compliance and corporate governance matters.Key Responsibilities:Counsel public companies on '34 Act compliance, including financial reporting and SEC disclosure obligations.Advise on corporate governance matters, including executive succession, shareholder proposals, activism, and crisis management.Assist with significant governance transactions and regulatory compliance.Collaborate with firmwide teams on securities offerings, mergers & acquisitions, and related corporate matters.Qualifications:Experience: 4 to 5 years advising public companies on securities compliance and corporate governance.Skills: Strong understanding of securities laws, corporate governance issues, and disclosure requirements.Preferred: Experience with securities offerings, M&A, or prior in-house counsel work.Education: Strong academic credentials from an accredited law school.Bar Admission: Must be licensed to practice law.Compensation & Benefits:Salary range: $245,000 – $265,000.Comprehensive benefits package, including productivity and discretionary bonuses, health and disability insurance, and a 401(k) plan.If you're looking for an opportunity to work with a leading corporate governance team serving a diverse public company client base, apply today!
