This role focuses on corporate governance and transactional matters and is not litigation-oriented.Qualifications* 3-10+ years of corporate paralegal experience* ABA-approved paralegal certificate required* Law firm experience strongly preferred* Experience supporting multiple attorneys and managing complex transactional workflowsPractice Areas Supported* Mergers & acquisitions* Private equity and venture capital* Corporate governance and maintenance* Securities (public and private)* Corporate finance and licensingKey Responsibilities* Draft and review corporate organizational and transactional documents* Assist with due diligence, including document review and disclosure schedules* Maintain corporate minute books, stock ledgers, and entity records* Prepare and file documents with the SEC, IRS, and Secretaries of State* Prepare UCC financing statements and obtain EINs* Support contract processes through execution* Prepare corporate filings, reports, and statutory summariesPreferred Experience* Hands-on M&A and private equity transactions* Corporate maintenance, including minute books and stock ledgers* Multi-jurisdictional filingsThis position is being shared by LHH, a legal recruiting firm.
