Assistant General Counsel - Banking
OverviewThe Assistant General Counsel will provide legal support to the Bank’s transactional, lending, and business operations, with a primary focus on commercial lending, contracts, and related financial services matters. This role partners closely with business, credit, risk, and compliance teams to structure, negotiate, and execute transactions while managing legal risk and ensuring regulatory compliance.Key ResponsibilitiesProvide legal advice and support for a wide range of commercial lending transactions, including secured and unsecured loans, syndicated facilities, asset-based lending, real estate lending, and loan participations.Advise on complex commercial contracts, including vendor agreements, service agreements, NDAs, fintech partnerships, and other operational contracts.Support transaction structuring and execution, working closely with business teams, outside counsel, and counterparties.Identify, assess, and mitigate legal and regulatory risks associated with lending and contractual arrangements.Provide guidance on applicable banking laws and regulations impacting commercial lending and transactions (e.g., UCC, secured transactions, usury, regulatory lending limits, and related compliance considerations).Assist with development and maintenance of standard form agreements, policies, and procedures.QualificationsJuris Doctor (J.D.) from an accredited law school.10+ years of relevant legal experience, preferably in a financial institution, law firm, or both.Strong experience with commercial lending transactions and documentation.Solid background in drafting and negotiating complex commercial contracts.Working knowledge of banking regulations and legal issues impacting commercial lending.
