Unique to our firm is a culture that eschews billable hours in favor of proactive communication, internal and external engagement, and continuous professional development.Role Overview:We are seeking a paralegal with 3 to 7 years of corporate or transactional experience to support our attorneys on a wide range of business matters. Familiarity with healthcare, real-estate, and M&A work is preferred.Key Responsibilities:Coordinate due-diligence, manage closing checklists, maintain data rooms, and prepare closing bindersDraft formation documents, board and shareholder consents, officer certificates, UCC filings, annual reports, and routine agreements (NDAs, service contracts, amendments)Track versions, signature pages, and deadlines; maintain corporate minute books and cap tablesConduct statutory and regulatory research (Texas SOS, Delaware corporate law, healthcare compliance) as requestedServe as the first point of contact for client document requests and status updates; schedule and organize calls and meetingsImprove templates, checklists, and knowledge-management tools to keep our workflow efficientQualifications:3 to7 years of paralegal experience.Exposure to healthcare, real-estate, or M&A transactions preferredStrong proficiency with Microsoft 365, AI tools, DocuSign, and common entity-management or virtual-data-room platformsExcellent written and verbal communication skillsExceptional attention to detail, strong organizational skills, and the ability to manage multiple projects under tight timelinesCollaborative mindset and high ethical standards; comfortable working directly with clients and attorneysJoin Us:Be part of a team where your skills are valued, your professional growth is prioritized, and your work positively impacts our clients' success.Job Type: Full-timeBenefits:Dental insuranceHealth insurancePaid time offWork Location: In person
