Mid-Level Corporate Governance/Special Committee Associate

Lateral Link has a unique opportunity for you.Our team is working with a top-tier law firm seeking a 3rd–6th year associate with significant Delaware corporate law experience to join a highly sophisticated and uniquely interdisciplinary practice.This is not a traditional corporate or litigation role. The associate in this position will advise boards of directors, special committees, management teams, institutional investors, and significant stockholders on complex corporate governance and fiduciary duty issues that sit at the intersection of corporate advisory work, M&A, shareholder litigation risk, and Delaware Court of Chancery practice.The work includes advising on conflict transactions, activism preparedness, governance audits, fiduciary duties, disclosure obligations, board process design, and high-stakes M&A matters, including going-private transactions, management buyouts, and interested stockholder deals. The role also involves supporting Delaware Court of Chancery litigation matters and helping clients navigate cutting-edge developments in Delaware corporate law.One of the most compelling aspects of this opportunity is the breadth of exposure. The associate will work closely with partners across Corporate & Securities, Litigation, Financial Services, and other practice groups to provide strategic, integrated advice on sophisticated client matters.
