Corporate Counsel
Overview
The Corporate Counsel is a key member of HealthEquity’s legal department, focusing on commercial contract review and negotiation. The role oversees drafting, negotiation, and review of a broad range of contracts to ensure legal compliance, minimize risk, and support business objectives.
Responsibilities
Review and negotiate revenue and service partner (vendor) contracts to ensure terms are reasonable, align with the company's risk tolerances, and meet product/service scope.
Conduct commercial and government contract review and negotiation with heavy volume during September through January.
Review public and private sector Request for Proposals (RFPs) to ensure responses are legally sound and align with compliance requirements.
Provide support to Associate General Counsels, RFP response, and procurement teams for client and vendor agreements.
Work closely with Contract Administration team to meet business demands.
Understand current & future product/service roadmap, capabilities, limitations, and pricing models.
Ensure contractual obligations are reviewed and approved by appropriate business team members.
Maintain agreement forms, playbooks, and negotiation guides.
Support Associate General Counsels and senior leadership with ad hoc projects and initiatives.
Qualifications
Licensed to practice law in any U.S. jurisdiction.
Preferred certifications: CIPP/US.
Strong academic credentials; JD from a leading law school.
6+ years of in‑house business contracting experience.
Knowledge of ERISA welfare benefit plans, HSA, and privacy regulation.
Experience negotiating procurement agreements with public sector clients is highly desired but not required.
Understanding of information security technologies (e.g., TLS, two‑factor authentication, AES, PKI).
Working knowledge of ADEA, ADA, FMLA, USERRA as they impact benefit plans.
Ability to interact at senior level across departments.

Strong influence, listening, and judgment skills.
Excellent attention to detail and handling of confidential information.
Solution‑oriented, creative approach to problem‑solving.
Travel Requirements
Infrequent travel may be required.

This is a remote position.
Salary Range
$133,000.00 to $173,000.00 per year
