Corporate Counsel w/ Public REIT

Representing a publicly listed healthcare real estate investment firm, we are proud to be leading the search for a Corporate Counsel. This newly created role will support securities, governance, and transactional legal matters across a growing, acquisition-focused platform. This is a pivotal role offering the opportunity to influence processes, support capital markets activity, and partner closely with senior leadership in a high-growth environment. As the Corporate Counsel, you will be responsible for:Assisting with public securities offerings, including preparation of offering materials and coordination of due diligence processesSupporting debt and financing transactions at the portfolio level, including structured and secured financingsDrafting and reviewing SEC filings, including Form 8-K, 10-K, 10-Q, proxy statements, and beneficial ownership formsReviewing and negotiating commercial contracts to ensure alignment with corporate policies and risk standardsPreparing board materials, minutes, consents, and supporting broader corporate governance mattersAssisting with M&A transactions, joint ventures, and real estate acquisitions and dispositionsReviewing investor communications, including press releases and investor presentationsManaging multiple workstreams to meet deadlines while maintaining high standards of accuracy and responsivenessActing as a generalist across the legal function, partnering with internal stakeholders across finance, operations, and leadershipTo be successful in this role our client is looking for a:Attorney with 4 to 6 years of experience, gained at a top law firm and or in-house legal departmentStrong background in SEC reporting, public company obligations, and capital markets transactionsDemonstrated experience drafting SEC filings, corporate governance documents, and commercial agreementsExperience with EDGAR filing systems or similar reporting toolsExposure to real estate, REITs, or financial reporting is preferred but not requiredHighly detail-oriented professional with strong written and verbal communication skillsAbility to manage competing priorities and work effectively in a fast-paced, deadline-driven environmentTeam-oriented individual who can also operate independently and take ownership of key initiativesAdmission to practice law in a U.S. jurisdictionAs a specialist Legal, Risk, and Compliance search and recruitment firm, we are partnering with a high-performing, growth-oriented public company at a pivotal stage in its evolution, offering exposure to complex transactions and meaningful career progression.
