Emerging Growth & Venture Capital CounselLocation: New York, NY (Hybrid) 4/1Comp: $250-350,000 base + 10% guaranteed bonus + performance bonusOur client, an early-stage venture capital firm is seeking a counsel for their NY office. They invest in high-growth technology companies across fintech, SaaS, and consumer sectors. They partner closely with founders from formation through scale and are seeking a business-minded attorney to join our team.The RoleWe are looking for an Emerging Growth & Venture Capital Counsel to support our client's investment activities and portfolio companies. This role will work directly with partners and investment professionals on structuring, negotiating, and executing venture investments, while also advising portfolio companies on a wide range of legal and strategic matters.ResponsibilitiesInvestment WorkLead legal aspects of venture investments, including priced equity rounds, SAFEs, and convertible notesReview and negotiate term sheets and definitive agreementsManage and coordinate outside counsel to ensure efficient deal executionIdentify legal risks and provide practical, business-oriented advice to investment teamPortfolio Company SupportAdvise portfolio companies on financings, governance, and general corporate mattersSupport hiring and equity compensation structuringAssist with follow-on investments and exitsFirm-Level SupportDevelop and maintain standard investment documents and templatesAssist with fund-related legal and compliance matters as neededCollaborate with finance and operations teams on internal processesQualificationsJ.D. from a top law school and admission to at least one U.S. bar4–8 years of experience at a top law firm or in-house roleStrong background in:Venture capital financingsEmerging companies representationExperience with SAFEs, convertible notes, and preferred equity financingsAbility to manage multiple deals simultaneously in a fast-paced environmentIf interested, please contact Greg Sokol - GregSokol@sokolassoc.com 914-400-6281 and apply directly via the Sokol Associates portal
