The firm is seeking a talented M&A / Private Equity Associate Attorney to join its sophisticated corporate practice. This role offers the opportunity to work closely with premier private equity sponsors, institutional investors, and portfolio companies on complex, high-value transactions in a collaborative and fast-paced environment.Candidate ProfileJD from a top-tier law school with an excellent academic record.Active Bar Admission in relevant jurisdiction, in good standing.3-8 years of substantive experience in private equity and M&A transactionsExperience serving as an integral associate on Private Equity and M&A transactionsStrong preference for private equity sponsor-side experience; candidates with primarily M&A experience may be considered if private equity exposure is more limitedExperience representing institutional investors, private equity sponsors, portfolio companies, sovereign wealth funds, family offices, as well as institutional and corporate investors in connection with fund investments and transactional mattersFamiliarity with complex deal structures, including platform M&A deals, varied portfolio company matters, and negotiated transaction termsLarge law firm experience strongly preferredExcellent drafting skills, sound commercial judgment, and the ability to thrive in a performance-driven team environmentExperience serving as a key member of deal teams, with responsibility for managing significant aspects of transactions from due diligence through closingDemonstrated ability to manage complex workflows, balance competing priorities, and work effectively in fast-paced deal environmentsKey ResponsibilitiesRepresent private equity sponsors, institutional investors, and portfolio companies across the full investment life cycleAdvise on fund investments, platform acquisitions, add-on acquisitions, and exit transactionsDraft and negotiate purchase agreements, merger agreements, equity documentation, and ancillary deal materialsAssist portfolio companies with add-on acquisitions, joint ventures, and public and private financingsCollaborate with cross-functional teams across tax, finance, and regulatory practices to deliver seamless, business-focused solutionsConduct due diligence and oversee process management across all phases of a dealCoordinate with subject-matter experts across disciplines to address transaction-related issuesSupport senior attorneys and clients in structuring, negotiating, and executing strategic transactionsMaintain and strengthen client relationships through responsive and solution-oriented serviceWhy Join Us?This is a compelling opportunity to join a premier private equity and M&A practice that advises institutional investors, including private and charitable foundations, pension trusts, and corporate venture funds, as well as leading fund sponsors and portfolio companies.
