Corporate Paralegal

Position Overview: We are partnering with a fast growing publicly traded technology company at the forefront of innovation in the semiconductor space. They are looking to add a Corporate Paralegal to their growing team!The ideal candidate is someone who thrives in a fast paced environment and wants exposure to public company governance SEC reporting and M&A activity.The RoleThis position will support a wide range of corporate governance transactional and compliance matters working closely with internal legal counsel and cross functional teams.Key ResponsibilitiesMaintain domestic and international subsidiary records and corporate documentationSupport board and shareholder activities including resolutions and meeting materialsAssist with SEC filings including 10-K,10-Q and 8-KHelp prepare proxy statements and support Section 16 filings Forms 3, 4 and 5Coordinate cross functional inputs for quarterly and annual reportingSupport M&A transactions including due diligence and closing coordinationServe as a key point of contact for internal legal inquiriesWhat We Are Looking For4-6+ years of corporate paralegal experienceExperience supporting public company governance and SEC filingsStrong understanding of corporate structure compliance and transactionsHighly organized with strong attention to detailAbility to manage multiple priorities in a fast paced environmentNice to HaveExperience with proxy statements and Section 16 reportingParalegal certification (ex.)
