Senior Paralegal

Fully remote (must be based in the U.S.) Overview High-growth legal practice serving venture-backed technology companies and their investors Acts as outside general counsel across the full startup lifecycle (formation → scaling → exit) Collaborative, high-performance environment with strong exposure to venture financing work Key Responsibilities Drafting and managing transaction documents Post-closing execution and tracking Manage and maintain client capitalization tables Ensure accuracy and ongoing compliance Oversee equity issuances and updates Ensure compliance with applicable securities regulations Blue sky filings and related requirements Maintain corporate governance records Draft board and shareholder minutes Prepare resolutions and consents Assist with preparation of legal opinions and transaction documentation Required Experience 4+ years as a paralegal at a top-tier law firm focused on emerging companies / venture capital Consistent exposure to ECVC transactions (~15+ deals/year) Direct experience with: Venture financing workflows Corporate governance processes M&A exposure is a plus Technical Skills Time/billing software (e.g., Clio or similar) Document management systems (NetDocuments preferred) Education Paralegal certification required Profile Fit Balanced, team-oriented contributor (not overly aggressive / “gunner” profile) Demonstrates interests and engagement outside of work Strong attention to detail with ability to manage multiple transactions simultaneously Health insurance 401(k) Unlimited PTO Generous parental leave Firm Snapshot Founded in 2019 Focus: Startup and venture ecosystem (tech, financing, scaling, international expansion) Broad advisory across legal and strategic business matters #J-18808-Ljbffr
