This role supports a sophisticated funds practice handling complex private equity transactions, including secondary reviews, fund restructurings, and ongoing fund operations. This is not a general paralegal role. It is a high-impact, deal-driven position for someone who enjoys working closely with attorneys on complex transactions and wants to be part of an elite investment management platform. Base Pay Range $100,360.00/yr – $132,995.00/yr Work Model 3 days onsite / 2 days remote Core business hours Office-based in one of the firm's major U.S. markets; fully remote may be considered for a highly qualified candidate with deep, directly relevant experience What You'll Do Support attorneys on investment funds and private equity transactions Assist with secondary transaction reviews, including LP transfers and fund restructurings Prepare and file UCC financing statements Assist with SEC-related filings, Blue Sky filings, and regulatory support Draft, review, and manage NDAs and transaction documents Coordinate and manage deal closings, including checklists, data rooms, and closing books Prepare and maintain capitalization tables, stock and options ledgers Assist with entity formation, maintenance, and annual state filings Conduct due diligence and organize transactional documentation Liaise with internal teams, outside counsel, and third parties Maintain accurate records, calendars, and matter files What They're Looking For Investment management or investment funds paralegal experience Exposure to private equity secondaries strongly preferred Corporate transactional background Experience with UCC filings, closings, and fund-related documentation Blue Sky experience is a major plus Strong tenure and employment stability Ability to manage multiple matters in a fast-paced, deal-driven environment Excellent organizational, communication, and attention-to-detail skills Experience & Education 5+ years of relevant paralegal experience preferred Bachelor's degree and/or paralegal certificate strongly preferred Candidates without a degree or certificate must have substantial, directly relevant experience Compensation Hourly, non-exempt role Competitive hourly rate with overtime eligibility Compensation varies based on experience and geographic market Why This Role Stands Out Sophisticated investment management work Exposure to complex private equity and funds transactions Hourly pay with overtime Hybrid flexibility with potential remote consideration Long-term stability and growth within a premier legal platform J-18808-Ljbffr
