This role will focus heavily on commercial contracting and day-to-day partnership with sales and operations teams, while also supporting a broad range of corporate, compliance, and risk management initiatives.The ideal candidate is a highly collaborative, responsive attorney with strong law firm training and deep experience advising business stakeholders, who is adept at managing legal risk while enabling the business’s operational and commercial objectives.Key ResponsibilitiesCommercial Contracting & Revenue SupportDraft, review, and negotiate a wide range of commercial agreements, including client engagement agreements and vendor contractsPartner closely with sales and operations teams to structure, negotiate, and finalize client agreementsProvide practical, solutions-oriented guidance to facilitate revenue generation and optimize agreement enforceability while managing risk to the businessConsult with Human Resources personnel on employment and immigration law issues, involving outside counsel as necessaryPerform reviews of commercial leases and related agreementsAssist with various areas of legal work associated with M&A transactionsDevelop and maintain contract templates, playbooks, and standard termsBusiness PartnershipAct as a trusted legal advisor to business operations and functional leaders and their team membersTranslate complex legal concepts into actionable, understandable guidance for non-legal stakeholdersProactively identify risks and collaborate on mitigation strategies aligned with company objectivesCorporate, Compliance & Risk ManagementSupport enterprise compliance initiatives and internal policy developmentAssist with corporate governance and legal entity managementParticipate in internal investigations and risk assessments as neededSpecialty Legal SupportProvide legal support across a range of areas, including employment, M&A, and regulatory mattersPartner with internal stakeholders and external counsel on specialized legal issues as requiredMinimum QualificationsJuris Doctor (J.D.) from an accredited law schoolActive license to practice law in at least one U.S. jurisdiction, in good standing5–7 years of experience at a mid-to-large-sized law firmSignificant experience drafting and negotiating commercial agreements, including both client/customer and vendor contractsDemonstrated experience working closely with business partners, particularly sales and operations personnelStrong analytical, negotiation, and issue-spotting skillsAbility to manage multiple priorities in a fast-paced, business-driven environmentPreferred ExperienceData privacy and IT security lawCommercial leasingMergers and acquisitionsInternational commercial agreementsEmployment lawBankruptcy and collectionsCommercial insuranceImmigration lawEmployee benefits and executive compensationPreferred QualificationsPrior experience as in-house counselHigh degree of financial acumen and business judgment; CPA and/or MBAExperience working with professional services organizationsCore CompetenciesBusiness-Oriented Judgment: Balances legal risk with commercial objectivesResponsiveness: Manages high volume of requests for legal assistance from the business quickly and efficientlyCollaboration: Builds strong, trust-based relationships across the organizationCommunication: Clearly, simply, proactively, and effectively communicates complex legal conceptsExecution & Accountability: Delivers high-quality work with a strong sense of ownershipIntegrity: Demonstrates the highest ethical standards in all mattersReporting StructureReports to: Chief Administrative Officer & General CounselWorks closely with: Sales, Operations, Finance, Human Resources, and senior leadershipThe Company is an equal employment opportunity employer and is committed to providing equal employment opportunities to its applicants and employees.
