Contract Manager - Legal Counsel
Duties:Hours/Days: Able to work 5 days per week for 4-5 hrs or Tue and Thursday and 1 other day to equal 20-25 hrs per week.*This is a remote position and they do not need to live in Austin, TX. If they live in Austin- they have the option to work onsite*Looking for 5-7 years experience*Must have law degree and experience with Commercial Transactions and Compliance Policies - Must have experience negotiating agreements*Interview process: 1 phone screen and 1 Video Panel w/managers*Prefer the hours are EST or CST or willing to work EST or CST hours depending on where they livePosition SummaryLegal Counsel with 5 plus years of commercial transactions experience, with in-house experience preferred. You will provide leadership and guidance on a broad range of legal matters and ensure that legal and contractual risks are identified and mitigated. The primary responsibilities of the Legal Counsel will be to draft and negotiate a broad range of commercial agreements in collaboration with internal stakeholders and review and enforce internal standards, policies and procedures in a timely and efficient manner. The ideal candidate will have strong commercial transactional skills, a familiarity with compliance responsibilities, a willingness to learn other legal disciplines impacting the technology field, excellent communication & time management skills, and pragmatic business judgment.Skills:Essential/Key Areas of Responsibility• Responsible for drafting, negotiating, structuring, implementing, managing, and monitoring a broad range of commercial agreements, including but not limited to, sale side and buy side agreements, licensing agreements, master services agreements, statements of work, RFP responses and supporting documents in line with company policies and procedures.• Be a regional expert in company compliance policies and procedures. Uphold the policies as needed and respond to business partners when questions about the policies arise.• Identify and analyze legal issues in contracts and business operations, and present clear recommendations to management and business partners.• Advise on company contractual rights and obligations, and provide legal interpretation of terms and conditions.• Ensure that contractual commitments comply with applicable laws and actively manage and mitigate risks relating thereto.• Monitor and manage contractual commitments and any claims relating thereto.• Uphold the integrity of the business and oversee the implementation of legal-related compliance policies and processes adopted by the Group, including those relating to anti-corruption, antitrust, trade compliance (incl. export control) and data privacy (incl. GDPR, CCPA).Technical Knowledge/Skills & Experience Required• Extensive experience drafting and negotiating B2B supply agreements, SOWs, software as a service agreements, software license agreements software maintenance/support obligations and hardware purchase agreements with large organizations.• Must be able to develop a thorough understanding of and familiarity with the company's business, its people, products, policies, markets, compliance framework, and customers.• Flexible and business-oriented approach in advising internal stakeholders, including the ability to quickly weigh the relative risk and benefit of agreement terms based on the totality of the circumstances.• Ability to handle and prioritize a high volume of contractual and other legal matters while meeting required deadlines.• Ability to emphasize company compliance processes and policies.• Strong analytical and strategic thinking skills coupled with great organizational & time management skills.• Ability to distil complex situations into actionable recommendations• Strong interpersonal skills, good attitude, ability to demonstrate flexibility and creativity and the ability to work effectively with all levels of the organization.• All-around team player with the ability to apply innovative problem-solving skills and practical business judgment to optimize benefits and foster strategic business relationships.• Excellent verbal and written communication skills in English.• Attention to detail with a commitment to mitigating risk to the corporate client.• Ability to work effectively in fast-paced commercial environment within a matrix organization.• Work experience in the tech industry and/or in a global corporate environment is a plus.*Must have law degree and experience with Commercial Transactions and Compliance Policies - Must have experience negotiating agreementsEducation:Educational Requirements:• Law degree from an accredited institution (required).
