Corporate Paralegal
Position: Corporate Paralegal, UCCCompensation: $80,000 - $120,000Location: Midtown, HybridRanking: AmLaw100Position OverviewThe Global Transportation Finance Paralegal will provide substantive support on corporate, finance, and transportation finance transactions from document preparation through closing and post-closing. The ideal candidate will be highly organized, detail-oriented, comfortable working on time-sensitive transactions, and experienced supporting sophisticated finance or asset-based lending matters.Key ResponsibilitiesAssist attorneys with all aspects of corporate, finance, and Global Transportation Finance transactions.Prepare, proofread, amend, organize, and distribute transaction documents.Create and update closing checklists, closing indices, execution documents, and master closing bibles.Manage post-closing activities and related documentation.Draft and lodge/register charges, aircraft mortgages, ship mortgages, and railcar mortgages.Draft corporate authorities and ancillary transaction documents.Coordinate with opposing counsel regarding corporate authorization and ancillary matters.Conduct limited due diligence related to corporate powers and authority.Work with government authorities, including ship registries and the International Registry.Review and confirm satisfaction of conditions precedent.Communicate with clients regarding conditions precedent and closing deliverables.Prepare instructions to counsel for various transactions under attorney supervision.Assist with consolidating and updating internal know-how and transaction resources.Prepare and review Uniform Commercial Code filings and related documentation.Arrange filing of UCC documentation.Make International Registry filings and obtain equipment and user searches from the International Registry.Prepare and manage electronic and hard-copy closing bibles and post-closing documentation.Distribute original documents and closing sets to relevant transaction parties.Assist with creating, organizing, and managing physical and virtual data rooms.Analyze, organize, and reconcile transaction records and documents.Review and approve certain vendor invoices pre- and post-closing to support timely client billing.Perform other transaction-related tasks as assigned by attorneys.Maintain an annual target of approximately 1,500 billable hours.QualificationsBachelor’s degree required.7+ years of experience in commercial lending, asset-based financing, secured lending, corporate transactions, or related transactional paralegal work preferred.Familiarity with UCC filings strongly preferred.Knowledge of the International Registry is a plus.Experience supporting complex closings, transaction checklists, execution documents, and post-closing binders preferred.
