General Counsel (Multi-Family Office)Employer Overview: Employer currently has ~$2.5bln in AUM through five stand alone oil and gas partnerships backed exclusively by MGMT and several large scale family offices. The candidate would also share time with its named Employer with the General Partners of those partnerships in a manner in which it would consult and assist in the management of General Partners assets as they relate to both their stakes in the Employer funds, as well as the General Partners other commercial endeavors.Position Overview The General Counsel will serve as the chief in‑house legal advisor across a portfolio of affiliated companies operating in multiple locations. This role encompasses corporate governance, commercial contracting, compliance, employment law, and strategic advisory responsibilities, with KEY emphasis on understanding corporate tax implications as part of broader legal oversight.This position will be extremely focused on tax mitigation strategies and will involve the general counsel being included in all high level discussions as it relates to current asset management, future A& D, as well as structuring/corporate governance in future capital raises. The position will be designed for a legal leader who can operate independently, manage complexity across multiple entities, and provide clear, business‑aligned guidance to executive leadership.Key ResponsibilitiesProvide comprehensive legal support across multiple affiliated companies and operational sites.Advise on corporate tax considerations related to entity structure, transactions, and multi‑state operations as one component of the overall legal function.Draft, negotiate, and manage commercial agreements, vendor contracts, and partnership documents.Oversee corporate governance, including board documentation, regulatory filings, and entity compliance.Develop and maintain internal policies, compliance programs, and risk‑mitigation frameworks.Support HR with employment law matters, including multi‑state compliance, investigations, and policy development.Lead or support M& A activities, including due diligence, transaction structuring, and integration planning.Manage outside counsel relationships and ensure efficient, cost‑effective use of external legal resources.Serve as a strategic advisor to executive leadership on legal, operational, and financial implications of business decisions.Ideal Candidate ProfileJD from an accredited law school; licensed to practice in at least one U.S. jurisdiction, preferably Texas.Is a registered Certified Public Accountant.Experience at a Big 4 firm (audit, advisory, or tax) is highly valuable, providing a strong foundation in complex organizational structures, compliance frameworks, and analytical rigor, without positioning this as a tax‑only role.Experience in oil and gas tax matters, either having worked at an upstream oil and gas company, or having been engaged and worked significantly with an E& P on accounting and tax matters.Strong understanding of corporate tax considerations and current tax laws as they relate to entity structure and multi‑state operations.Ideal candidate will have participated in some form of litigation and/or arbitration on behalf of a client and/or employer against the Internal Revenue Service.Demonstrated experience supporting multi‑entity or multi‑site organizations.Ability to operate independently, establish legal infrastructure, and manage competing priorities.Excellent communication skills with the ability to translate legal complexity into clear, actionable business guidance.Proven ability to work effectively in a dynamic, entrepreneurial environment.Compensation & BenefitsSalary Range: $175,000 – $275,000 DOEBonus Structure: Annual bonus compensation tied to performance and tax savingsProfits Interests: Employee will be contributed a negotiated proportionate share of a profits interest on deals that employee directly works on moving forwardAbility to Participate in Deal Flow: There will be many opportunities in which the general counsel will be capable of participating in the acquisition and/or contributions of capital into private equity and direct assets deals alongside the family office.
