Job SummaryThe Asset Management Group of the Corporate Department is seeking an experienced Registered Funds Associate, preferably with 3-6 years of legal experience.Duties/ResponsibilitiesAs a Registered Funds Attorney, you will be responsible for providing legal advice and guidance to our clients on the full range of matters related to registered investment companies, including mutual funds, exchange-traded funds (ETFs), listed closed-end funds, interval funds, tender offer funds, and business development companies, and their trustees/directors. You will also be responsible for advising investment advisers on all their business and regulatory matters. You will work closely with clients, internal teams, and regulatory authorities to ensure compliance with applicable laws and regulations.Responsibilities will include:Providing legal counsel and guidance to clients on matters related to registered investment companies and their advisers and boards.This includes fund formation, registration, and ongoing compliance;Advice regarding product development, including novel product designs;Reviewing and drafting legal documents, including prospectuses, statements of additional information, and shareholder reports;Conducting legal research and analysis on novel issues, including review of relevant laws, regulations, and industry trends;Advising clients on compliance with securities laws, including the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934;Representing clients in interactions with regulatory authorities, such as the Securities and Exchange Commission (SEC) and state securities regulators;Collaborating with clients, including lawyers, portfolio managers, product development, and compliance officers, to ensure legal compliance and address any legal issues that may arise;Providing subject matter expertise in related practices, such as mergers and acquisitions in the financial services industry; andProviding training and guidance to junior attorneys and legal stafRequired Skills/Abilities
