ResponsibilitiesThe Senior Corporate Paralegal will directly assist and support the General Counsel and other members of Related Companies' legal team, with a focus on corporate governance, entity management and corporate record maintenance. The ideal candidate for this role will have a corporate paralegal background and will have strong attention to detail and organizational skills. Real estate experience is not required but is strongly preferred. This position will be based in New York, NY. Responsibilities include, but are not limited to:Maintain corporate entity management platform, which includes working with our various corporate service agents on state filings and annual reports to ensure legal compliancePrepare corporate filings, including entity formations and dissolutionsAssist with submission of basic IRS forms, including obtaining EINsMaintain accurate corporate records and organizational documentsPrepare organizational documents, including operating agreements, amendments, assignments, corporate resolutions, corporate minutes and officer's certificatesSupport corporate/real estate transactions and closings, including ordering good standings and other required corporate filings, preparing authorizing resolutions and officer certificates/incumbencies and coordinating document executionSupport our development/operations teams in tracking, managing and documenting compliance with various statutory housing and other legal requirementsCompensationThe anticipated base salary range for this position is listed below. In addition to a competitive base salary, you will be eligible to receive discretionary bonus incentives and a comprehensive benefits package.Anticipated base salary range: $120,000 - $130,000+Actual base salary within the anticipated range will be determined by several components including, but not limited to, the individual's experience, skills, qualifications, and market factors.QualificationsMinimum of 10 years of corporate paralegal experience in either a law firm or an in-house legal department focusing on corporate governancePrior experience managing expansive and complex organizational/entity structuresAbility to digest and comprehend organizational documentsSuperior interpersonal skills:Ease in working with people up and down the organization hierarchyNaturally adaptive to different audiencesDiplomatically assertiveAbility to work independently and manage multiple projects concurrently in a fast-paced environmentStrong sense of integrity and ethicsStrong organizational skillsExcellent written and verbal and communication skillsUndergraduate degree requiredA Registered Paralegal (RP) certification is preferredWe are proud to be an equal opportunity employer and are deliberate about the team and culture we are building.
