This role offers the opportunity to work with innovative startups and high-growth companies across their full lifecycle—from formation through exit—within a collaborative, national platform.Key ResponsibilitiesAdvise emerging companies and venture capital investors on a broad range of corporate and transactional mattersDraft and negotiate venture financing documents, including term sheets, convertible notes, and NVCA-based agreementsProvide guidance on corporate governance matters, including board and shareholder issuesSupport mergers and acquisitions, joint ventures, and other strategic transactionsConduct due diligence and assist with deal execution and closingsServe as outside corporate counsel to early-stage and growth-stage companiesManage relationships with clients, opposing counsel, and internal stakeholdersQualifications3–5 years of relevant corporate experience, including emerging companies and venture capital workExperience with venture financings and startup advisory mattersStrong academic credentialsExcellent drafting, research, and analytical skillsStrong communication and client management abilitiesAbility to manage multiple matters in a fast-paced, team-oriented environmentRequirementsJ.D. from an ABA-accredited law schoolLicensed or eligible to practice law in the applicable jurisdictionAbility to work in-office at least three business days per weekCompensation & BenefitsIn certain markets, including Century City, the expected salary range is $260,000 – $365,000, commensurate with experience and qualifications.
