JAGGAER is seeking an experienced and strategic General Counsel to serve as a trusted advisor to the Executive Leadership Team and Board while leading our global legal function. This individual will drive legal strategy across enterprise SaaS contracting, corporate governance, compliance, M&A, employment matters, and dispute management in a complex, multinational environment. The ideal candidate brings deep technology and commercial expertise, strong executive presence, and the ability to balance risk with business growth while building scalable legal operations aligned to JAGGAER’s global objectives and values.
Principal Responsibilities
Strategic Leadership & Governance
Act as a trusted legal advisor to the ELT
Lead global corporate governance matters, including board and committee support, subsidiary management, policies, and compliance with corporate obligations
Shape and execute the global legal strategy in alignment with JAGGAER’s business objectives and risk appetite
Commercial & SaaS Contracting
Oversee negotiation and execution of complex, high-value enterprise customer agreements, technology and channel partner contracts, and vendor arrangements
Provide legal guidance on SaaS, software licensing, cloud services, SLAs, pricing models, intellectual property, artificial intelligence and data usage
Support global Sales, Procurement, RFx and Partner teams with scalable contracting frameworks and risk-balanced deal structures
Compliance, Privacy & Risk Management
Lead global compliance programs, including data protection (e.g., GDPR and other privacy regimes), anti-corruption, export controls and sanctions, and competition law
Partner closely with Security, Product, and Engineering teams on privacy‑by‑design, information security and regulatory requirements
Identify, assess, and mitigate legal and regulatory risks for global business
Corporate, M&A & Strategic Transactions
Advise on corporate structure, subsidiaries, intercompany agreements, and global operations
Lead legal aspects of mergers, acquisitions, divestitures, investments, and strategic partnerships
Manage relationships with external counsel and advisors worldwide
Employment & Workforce Matters
Provide legal guidance on global employment law, executive compensation, and equity programs
Support senior leadership on sensitive employee relations and workforce matters
Disputes & Litigation
Oversee litigation, arbitration, regulatory inquiries, and dispute resolution strategies
Manage claims, investigations, and settlement negotiations
Legal Operations & Team Leadership
Lead and develop a high‑performing, globally distributed legal team
Establish efficient global legal processes, playbooks, and contract standards
Manage the legal budget and optimize use of external counsel
Position Requirements
What You Will Bring
Law degree from an accredited institution and qualification to practice law
General Counsel experience preferred; significant in‑house leadership experience required
Strong background in enterprise SaaS, technology, and/or complex B2B environments
Deep expertise in commercial contracting, preferably with multinational businesses and governmental entities , with broad generalist legal experience preferred
Proven experience working directly with executive leadership and boards
Proven cross‑border experience working in a global business, including local language and regulatory profiles
Strong judgment, leadership presence, and ability to balance risk with business needs
