Senior Corporate Paralegal - Contracts

The Senior Corporate Paralegal is responsible for supporting the Legal Department in the preparation, review, and management of customer-facing and corporate agreements. This role partners closely with internal business stakeholders to facilitate efficient contract execution, ensure compliance with applicable laws and company policies, and support the organization’s commercial operations under the direction of the VP of Legal Services.This is a hybrid or remote role in the Irvine, CA or Downers Grove, IL office.Essential Functions & ResponsibilitiesPrepare, review, and negotiate a high volume of customer contracts, including master service agreements, amendments, and related commercial documentsDraft, review, and manage non-disclosure agreements (NDAs), letters of intent (LOIs), and other preliminary business arrangementsPartner with internal departments to support contract lifecycle management and ensure alignment with business objectivesCoordinate contract execution, tracking, and organizationDrive contract process efficiency and scalability by streamlining workflows, standardizing procedures, and implementing process improvementsMaintain and update standardized contract templates, playbooks, and clause librariesIdentify contractual risks and escalate issues appropriatelySupport compliance with applicable laws and corporate policiesAssist with corporate governance and regulatory compliance mattersMonitor and communicate updates to contract-related processes and policiesCollaborate with internal teams and outside counsel on specialized contract mattersConduct legal research to support the Legal department and business stakeholdersSupport other legal and operational projects, with additional duties as assignedKnowledge & SkillsStrong understanding of contract law principles and commercial contracting practicesExperience reviewing and negotiating customer-facing agreementsAbility to identify, analyze, and mitigate contractual riskExcellent communication and organizational skillsExcellent attention to detailStrong interpersonal, time management, and organizational skills with the ability to manage multiple projects concurrentlyAbility to work both independently and within a team environmentHigh degree of professionalism and confidentialityAdvanced proficiency in Microsoft OfficeExperience with Ironclad and Salesforce strongly preferredEducation & ExperienceBachelor’s Degree or paralegal certification requiredMaster’s Degree preferred7+ years of experience supporting commercial contracts in a corporate environmentPay RangeCorVel uses a market based approach to pay and our salary ranges may vary depending on your location. Pay rates are established taking into account the following factors: federal, state, and local minimum wage requirements, the geographic location differential, job-related skills, experience, qualifications, internal employee equity, and market conditions. Our ranges may be modified at any time.For leveled roles (I, II, III, Senior, Lead, etc.) new hires may be slotted into a different level, either up or down, based on assessment during interview process taking into consideration experience, qualifications, and overall fit for the role.
