M & A Attorney
Job Title: Associate, Corporate | M&A AttorneyOur client, a full-service law firm in NYC, is seeking an M&A Associate to work closely with Partners on public and private company transactions, including drafting agreements, conducting due diligence, and managing deal processes. The ideal candidate will have 7–9 years of relevant experience.Duties and ResponsibilitiesThe Corporate Associate will be primarily focused on mergers and acquisitions.Participate in all aspects of public and private company transactional work, including, without limitation, reviewing and preparing draft agreements, conducting due diligence, and tracking and coordinating signings and closings, as well as other tasks appropriate to the candidate’s experience and demonstrated abilities.Coordinate and oversee due diligence efforts, including liaising with attorneys in specialty practice areas and/or co-counsel outside of EGS.Mentor and supervise junior attorneys, as needed.Demonstrate strong organizational skills (including maintaining detailed checklists) and corporate drafting capabilities necessary for major transactions, such as mergers, stock or asset purchases, joint ventures and other collaborations, private placements, and majority/minority investments.Focus primarily on M&A transactions (public and private), with occasional involvement in other corporate matters, including IPOs, capital markets transactions, and related activities.QualificationsSignificant experience representing large public companies.7–9 years of corporate and securities law experience.Admission to practice law in New York and active membership in good standing with the New York State Bar.Strong drafting skills, with experience overseeing due diligence processes and managing complex transactions.Working knowledge of securities laws and some exposure to public company transactions or capital markets matters, along with a willingness to deepen that expertise.Ability to work collaboratively with EGS colleagues, including attorneys and professional staff.Excellent verbal and written communication skills.Salary: $248,000+ annually, depending on experience and year of law school graduation.Work Environment: Hybrid; 3 days per week in the Midtown NYC office, including Mondays
