THE OPPORTUNITYHan Kun LLP's Silicon Valley office focuses on cross-border transactions, working with technology companies, venture funds, and institutional investors on deals that span U.S. and Chinese capital markets. We are growing our U.S. corporate practice and seeking a talented mid-level associate ready to take real ownership of complex deals.You'll run transactions — not just support them. From seed-stage SAFEs to late-stage venture rounds, IPOs, and M&A, you'll have direct client exposure and a clear path to leadership.WHAT YOU'LL DOLead venture & PE financingsDraft, review, and negotiate term sheets, purchase agreements, investor rights agreements, and other transaction documents for VC, growth equity, and PE deals.Run M&A transactionsManage deal execution end-to-end — coordinating due diligence, preparing reports, and advising on deal structuring and corporate governance.Advise on securities lawCounsel clients on U.S. securities law compliance, including Reg D offerings, public company reporting, and cross-border capital market transactions.Drive cross-border dealsLeverage Han Kun's unique China-U.S. platform to advise on IPOs, dual listings, and inbound/outbound transactions bridging both markets.WHAT WE'RE LOOKING FOR J.D. or LLM from an accredited U.S. law schoolActive California Bar membership in good standing3–5 years of U.S. transactional experience at a law firm or in-house, with demonstrated depth in venture capital, private equity, or securities offeringsStrong command of U.S. corporate governance, securities regulations, and deal documentation — able to spot issues and propose solutions independentlyProven ability to manage multiple transactions simultaneously in a fast-paced environment with shifting prioritiesExcellent written and verbal communication skills, including clear and persuasive legal draftingBilingual proficiency in English and MandarinWHY HAN KUNAn established Chinese international law firm with a growing Silicon Valley presence, Han Kun offers associates direct exposure to high-quality deal flow, mentorship from experienced partners across U.S. and China offices, and a genuine path to partnership for those who develop the skills and relationships to earn it.Interested?
