Corporate M&A Attorney (Part-Time, Remote) Our client, a fully remote law firm, is seeking an experienced Corporate M&A Attorney to provide ongoing legal support on a part-time contract basis. This is an excellent opportunity for a seasoned corporate attorney who enjoys serving as a trusted advisor to businesses and handling sophisticated transactional and governance matters in a flexible, remote environment. Responsibilities Advise clients on mergers, acquisitions, restructurings, and other strategic transactions Draft, review, and negotiate a variety of corporate documents and agreements, including: Operating agreements Bylaws Shareholder agreements Member agreements Purchase and sale agreements Corporate resolutions and governance documents Counsel businesses throughout all stages of the corporate lifecycle, from formation to exit Provide guidance on corporate governance, entity management, and compliance matters Support corporate reorganizations, recapitalizations, and enterprise restructuring projects Assist with financing transactions, private placements, and capital-raising activities when needed Qualifications J.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction 8+ years of corporate legal experience Significant experience handling mergers and acquisitions, entity formation, and corporate governance matters Strong drafting and negotiation skills across a broad range of transactional documents Experience advising private companies and closely held businesses Experience supporting clients through complex restructurings and strategic transactions Capital-raising experience, including private placements, investor documentation, and financing transactions, is strongly preferred Position Details Fully remote Contract opportunity Approximately 5–10 hours per week initially Flexible schedule Opportunity for hours to increase as client needs grow Ongoing work with a sophisticated and growing remote law firm Hourly rate: $75–$100 per hour, depending on experience Ideal Background This opportunity is ideal for attorneys who enjoy functioning as outside general counsel and providing practical, business-focused legal advice.
