Corporate Paralegal

We are partnering with a Software Development company that is a leading provider of AI and BI software for enterprises that is looking to fill a Corporate Paralegal position on their legal team. As a Corporate Paralegal, you will focus on SEC reporting and corporate governance matters, while also supporting legal operations, litigation, and commercial contracting initiatives with strong knowledge on EDGAR. You will report to the VP & Associate General Counsel (Corporate Governance & Securities), with exposure to multiple areas of the business. Key ResponsibilitiesSEC Reporting & ComplianceAssist in preparing and coordinating filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings (Forms 3, 4, 5), Proxy statements and other disclosuresSupport public company reporting processes and ensure compliance with SEC and exchange requirementsCoordinate international securities filings and disclosures with internal teams and external counselCorporate GovernanceMaintain corporate records and entity documentationSupport board and committee operations, including, meeting materials, minutes and consents, governance documentationLegal Research & ProjectsConduct research on corporate, governance, and securities mattersPrepare clear and concise summaries and memorandaCommercial ContractingAssist with drafting and negotiating NDAs and low-to-moderate complexity contracts under attorney supervisionProject ManagementTrack key deadlines, filings, and deliverablesCoordinate across stakeholders to ensure timely execution Qualifications/QualitiesBachelor's degree and/or ABA-approved paralegal certificate (or equivalent experience)2+ years of corporate paralegal experience ideally at a public company supporting public company clients at a law firmHands-on experience with SEC filings (10-K, 10-Q, 8-K, Section 16 forms)EDGAR filing tools and processesStrong understanding of corporate governance and public company practicesExperience managing Corporate records, Board materials, Entity documentation If interested, please don't hesitate to apply and we will be in touch for a confidential discussion.
