Corporate Legal Specialist

Summary: The Corporate Legal Specialist serves as a key member of the Legal Department, providing comprehensive support across corporate governance, contract management, compliance, and legal operations. This role blends technical expertise with the analytical and advisory capabilities. The Corporate Legal Specialist ensures that UNC Health's legal and regulatory obligations are met, assists in managing entity records and corporate filings, and supports the development, review, and execution of a wide range of contracts and policies. Acting as a trusted partner to business units and senior leadership, this role helps streamline legal processes, minimize risk, and promote operational excellence across the organization. Responsibilities: Corporate Governance & Entity Management: Maintain and update corporate records, including articles, bylaws, resolutions, and meeting minutes. Prepare and file annual reports, business registrations, and other required filings for domestic and international entities. Support board and committee meeting preparation, including materials, resolutions, and logistics. Coordinate corporate formation, dissolution, mergers, and other entity lifecycle activities. Contracts & Legal Document Management: Draft, review, and manage a broad spectrum of legal agreements-including those related to mergers, acquisitions, joint ventures, non-disclosure, vendor, consulting, and service arrangements-ensuring alignment with corporate transactions and strategic objectives. Oversee contract lifecycle management-intake, routing, approval, execution, and recordkeeping. Partner with cross-functional teams to ensure all contracts adhere to internal policies, legal requirements, and enterprise risk management standards. Track and manage critical contract milestones, including renewal dates, expirations, and deliverables, to ensure timely compliance and performance. Compliance & Regulatory Support: Support company-wide compliance initiatives, including policy development, training, and reporting. Monitor and track regulatory filings, licensing renewals, and deadlines. Conduct research on laws, regulations, and legal issues impacting the organization. Assist in due diligence reviews, audits, and internal investigations. Legal Operations & Departmental Support:Assist with enterprise-wide legal operations initiatives to optimize workflows, technology platforms, templates for efficiency and scalability. Assist with partnering with senior leadership on cross functional projects, embedding legal risk management and compliance into strategic decision making. Manage legal workflows, templates, and department systems to improve efficiency. Support process innovation and governance frameworks that enhance transparency, standardization and operational excellence across the legal department. Champion data driven insights, project management and knowledge management to support informed decisions and continuous improvement. Contribute to process improvements, standardization efforts, and knowledge management within the Legal Department. Other Information Education Requirements: * Bachelor's degree or equivalent. Licensure/Certification Requirements: Professional Experience Requirements: * With a Bachelor's degree, requires three (3) years of legal support experience. * With an Associate's degree, requires seven (7) years of legal support experience. Knowledge/Skills/and Abilities Requirements: * Knowledge and understanding of practice areas, processes, procedures, rules, and regulations is required. * Ability to identify and understand opportunities, issues and problems and convey information clearly and concisely. * Demonstrates the ability to maintain confidentiality and handle sensitive information. * Excellent communication, writing and analytical skills required.
