Commercial Counsel

Job Description New Hudson Facades is seeking a Commercial Counsel to provide day-to-day legal support with a primary focus on contract drafting, review, negotiation, and practical risk management. This role partners closely with business stakeholders to support commercial operations, interpret contractual obligations, manage routine legal matters, and maintain standardized legal documentation and processes. The Commercial Counsel will also support the General Counsel and Contracts/Compliance Manager on disputes, corporate transactions, compliance initiatives, and other legal matters as needed.Key ResponsibilitiesContract Drafting & Review (Primary Ownership)Draft, review, and negotiate a variety of commercial agreements, including:Transportation and logistics agreements Equipment rental agreementsSoftware and SaaS agreementsNon-disclosure agreements (NDAs)Service vendor agreementsStandard terms and conditions (T&Cs) and supply agreementsLow-value vendor agreementsSearch firm agreementsCredit applicationsProject contract documents supporting MPAs and MSAsLegal Support to the BusinessProvide guidance on contract interpretation and respond to internal inquiriesSupport change management processes, including drafting and issuing client noticesHandle routine and lower-risk negotiations within established playbooksIdentify and escalate non-standard terms or risk issues to the General CounselAssist with project closeout and warranty-related reviewsCross-Functional Legal SupportPartner with the General Counsel and Contracts/Compliance Manager on daily legal mattersSupport dispute resolution efforts, including document gathering and analysisAssist with corporate transactions and diligence activities as neededMaintain and update contract templates and standard formsContribute to the development of trainings, SOPs, and internal guidance materialsQualificationsJuris Doctor (JD) degree from an accredited law schoolLicensed to practice law in at least one U.S. jurisdiction and in good standing3–7+ years of experience in a law firm or in-house legal environmentExperience drafting, reviewing, and negotiating commercial agreementsFamiliarity with construction, supply chain, transportation, logistics, and vendor agreements preferredExperience supporting construction, manufacturing, or other project-based businesses preferredExperience supporting business stakeholders in a fast-paced environmentSkills & AbilitiesStrong contract drafting, review, and negotiation skillsAbility to identify and communicate legal and business risks effectivelyStrong analytical, organizational, and problem-solving abilitiesExcellent written and verbal communication skillsAbility to manage multiple priorities in a fast-paced environmentDetail-oriented with strong judgment and follow-throughCollaborative and able to work effectively across teamsProficient in Microsoft Office and contract management systemsPhysical RequirementsAbility to travel as requiredAbility to sit, work, and collaborate on a computerAbility to stand for periods of time, as neededNew Hudson Facades is an Equal Opportunity Employer.
