About the OpportunityA compelling opportunity for a senior fund formation attorney to join an EC/VC boutique operating on a fully remote basis. This role is designed for an experienced funds attorney who is comfortable operating with autonomy and is looking for a platform that values expertise, flexibility and commercial contribution.About My ClientMy client is a New York-based EC/VC boutique law firm advising lenders, investors, borrowers and founders across the full spectrum of growth‑stage and private capital transactions. The practice covers debt financings, equity raises and hybrid structures, supporting clients at every stage of their lifecycle, and the firm regularly advises on structuring funds, SPVs and joint ventures, as well as M&A and broader corporate transactions, that arise naturally from working with venture‑backed and private capital clients.The platform was built intentionally around quality, flexibility and sustainability, prioritising long‑term relationships with both clients and attorneys.The RoleThis role will suit a senior fund formation lawyer with a strong, demonstrable background in funds. The expectation is that you are already well‑trained in this space and can run fund matters independently, rather than requiring close supervision.There may also be the opportunity to be involved in M&A or general corporate matters from time to time.ResponsibilitiesAdvising sponsors and asset managers on the formation of private investment funds, including:Private equityVenture capitalGrowth, credit or other alternative strategiesDrafting, reviewing and negotiating core fund documentation, such as:Limited partnership agreementsPrivate placement memorandaSubscription agreements and side lettersManagement and advisory agreementsAdvising on ongoing investment management and structural matters;Assisting with fund‑related SPVs and joint venture structuresManaging matters independently and acting as a day‑to‑day point of contact for clientsCollaborating with colleagues in a supportive, team‑oriented environmentQualificationsAdmitted to the New York Bar (or with the ability to waive in)5+ years' experience in fund formation/ investment management from a reputable law firmDemonstrated ability to run fund matters autonomously and advise clients directlyStrong technical drafting skills and commercial judgementComfortable working in a fully remote, trust‑based environmentWhy this role stands outFully remote role with genuine flexibility and autonomyFund formation is a core pillar of the practice, not an add‑onNo fixed or traditional billable‑hour targets - incentives are aligned with productivity and contributionSenior lawyers are encouraged to own their matters and client relationshipsCollegiate, low‑ego culture that values expertise, initiative and a willingness to keep learningIf you are interested in discussing this opportunity further, please contact Olivia Courtney on +1 646 722 0316 or email
