Corporate Counsel
OverviewOur client is seeking an experienced and highly motivated Corporate Counsel to join their legal team. This role will independently handle in-house legal matters and work closely with executives within the organization. The ideal candidate will have a strong background in both law firm and in-house legal work.Key ResponsibilitiesDraft, review, negotiate, and advise on a wide variety of commercial agreements, including customer, vendor, partnership, licensing, confidentiality, and services agreementsSupport corporate transactions and governance matters, including entity formation, structuring, mergers and acquisitions, joint ventures, and strategic initiativesProvide day-to-day legal advice to business stakeholders on commercial, operational, and risk-related issuesCollaborate with internal teams such as finance, procurement, sales, compliance, and HR to deliver practical, business-focused legal guidanceIdentify, assess, and help manage legal and regulatory risks while supporting business growth and innovationDevelop and improve contract templates, policies, and processes to promote efficiency and consistencyManage outside counsel as needed, including scope, budget, and strategic directionStay informed on relevant legal developments and proactively advise the business on potential impactsQualificationsJuris Doctor (JD) from an accredited law school and active license to practice law in at least one U.S. jurisdiction2+ years of relevant legal experience, including a combination of law firm and/or in-house experience (level may be adjusted based on seniority needs)Strong experience with commercial contracting and corporate transactionsExcellent drafting, negotiation, and issue-spotting skillsAbility to translate complex legal concepts into clear, actionable business adviceDemonstrated sound judgment, discretion, and attention to detailStrong interpersonal skills and the ability to build effective relationships with business partnersComfortable working independently in a fast-paced, evolving environmentPreferred QualificationsPrior in-house experience supporting a growing or complex organizationExperience in the company's industry or with regulated environmentsFamiliarity with international transactions or multi-jurisdictional matters
