Senior Director, Corporate CounselPosition OverviewThe Senior Director, Corporate Counsel reports directly to the General Counsel and serves as a key legal advisor to senior leadership. This role provides strategic legal guidance across a wide range of corporate, transactional, and regulatory matters while supporting ongoing business operations and long-term initiatives.This is a high-impact position offering exposure to complex financial products and innovative investment strategies within a collaborative, forward-thinking legal team.Key ResponsibilitiesProvide timely, pragmatic, and business-focused legal advice to senior management and internal stakeholdersIdentify, assess, and mitigate legal and business risks to support strategic decision-makingDraft, review, and negotiate complex commercial agreements, including:Vendor and service provider contractsLicensing agreementsTechnology agreementsAdvise on corporate structure, governance, and organizational mattersLead legal aspects of strategic transactions, including:PartnershipsAcquisitionsRestructuringsFinancingsCollaborate with finance and tax teams on federal and state tax considerationsProvide legal guidance on employment, compliance, and HR-related mattersDraft and negotiate financial agreements, including:ISDA agreementsFCM agreementsRepurchase (repo) agreementsSecurities lending and collateral agreementsOversee intellectual property matters, including:Licensing of index and dataTrademark, copyright, and patent filingsSupport business development and product innovation initiativesDrive internal legal process improvements and operational efficienciesManage and coordinate with external counsel QualificationsJuris Doctor (JD) and active membership in good standing with a state bar15+ years of legal experience, preferably within asset management, investment management, or a top-tier law firmStrong expertise in:Complex commercial contractsCorporate governanceStrategic transactionsDemonstrated ability to solve complex legal issues in a proactive, business-oriented mannerExperience managing internal teams and external legal resources Key Skills & CompetenciesStrong business judgment and risk assessment capabilitiesExcellent written and verbal communication skillsAbility to manage multiple priorities and meet deadlines in a fast-paced environmentHigh attention to detail with strong organizational and analytical skillsSelf-starter with the ability to work independently and drive initiatives forwardSalary Range: $275,000 - $315,000
