The team focuses on originating, structuring and executing investments and other transactions that affect the firm’s global tax, regulatory and accounting positions.  We work on transactions with deal teams across Asset Management and the rest of the firm, as well as originate and execute our own transactions.  This is a creative, analytical and execution-focused team, comprised of people with diverse structuring backgrounds who thrive in fast-paced, changing environments.  

RESPONSIBILITIES AND QUALIFICATIONS:
 Job DescriptionOne of the team’s main verticals is restructuring and originating investments where the firm acts as principal and the target’s tax profile is a key consideration.  The successful candidate will have the opportunity to be responsible for all aspects of the transaction lifecycle, including:<ul><li style="margin-left: 1.5in;">Originating new transaction opportunities by canvassing existing distressed positions within Asset Management and screening targets for new investments</li><li style="margin-left: 1.5in;">Designing bankruptcy/reorganization structures that achieve the firm’s objectives, negotiating them with external stakeholders, and directing their implementation</li><li style="margin-left: 1.5in;">Working with other Asset Management teams to underwrite new investments for the vertical</li><li style="margin-left: 1.5in;">Reviewing and negotiating transaction documents</li><li style="margin-left: 1.5in;">Modeling the impact of the transaction on the firm’s financial statements</li><li style="margin-left: 1.5in;">Managing the firm’s internal approval process for transactions</li><li style="margin-left: 1.5in;">Coordinating the firm’s resources for execution of transactions</li><li style="margin-left: 1.5in;">Monitoring and management of the book of investments (e.g. restructured positions, performing loans)</li></ul> Target Candidate<ul><li style="margin-left: 111.0pt;">A US tax professional at a leading bankruptcy/restructuring law firm or Big 4 accounting firm</li><li style="margin-left: 111.0pt;">Current practice focused on bankruptcy and restructuring; preference for debtor representation</li><li style="margin-left: 111.0pt;">Well-versed in non-tax aspects of bankruptcy/restructuring  </li><li style="margin-left: 111.0pt;">Will also consider bankruptcy lawyers with proficiency in tax aspects of bankruptcy/restructuring as well as former lawyers in distressed investing/restructuring roles at banks/funds</li><li style="margin-left: 1.5in;">3rd-4th year law associate (or equivalent)</li><li style="margin-left: 111.0pt;">Must be able to work independently with minimum direct supervision</li><li style="margin-left: 111.0pt;">Strong modeling skills (Excel) are preferable</li><li style="margin-left: 111.0pt;">Strong team player</li><li style="margin-left: 111.0pt;">Strong communication, negotiation and problem-solving skills</li></ul>
