We are hiring ahead of anticipated deal flow because we know that expert legal capacity cannot be built on demand, it takes time to develop, and we intend to be ready. The work percentages outlined below reflect our best current estimate; in practice, they will flex as transaction activity increases. The right person for this role will be energized by that variability, not unsettled by it.\n\nIn this role, you will:\n\nLead M&A Legal Due Diligence (primary responsibility)\n\nOwn and coordinate the legal diligence workstream for acquisition targets from initiation through close\n\nBuild and maintain diligence trackers that serve as the deal team's source of truth on legal risk\n\nDraft, review, and negotiate transaction documents under the General Counsel's supervision\n\nProactively surface material issues with recommended positions, not just flags\n\nInterface with outside counsel, manage work products, and control costs\n\nDevelop M&A playbooks and templates so each new deal builds on institutional knowledge rather than starting from scratch\n\nManage and Expand Revenue Contracts Capacity\n\nBuild proficiency with College Board's revenue contract portfolio and assume ownership of a defined set of agreements within the first 90 days\n\nDraft, negotiate, and manage customer and vendor agreements across existing and newly acquired business lines\n\nDrive assigned contracts to resolution, whether executed, renegotiated, or declined, with accuracy, timeliness, and sound legal judgment\n\nSupport the creation and management of net-new contract frameworks required by acquisitions\n\nBuild reusable contract templates for the most common agreement types, reducing cycle time and legal risk\n\nStrengthen Legal Operations & Infrastructure\n\nIdentify and close gaps in legal processes, templates, and documentation, especially between active deal cycles\n\nContribute to making the legal function more scalable as CB's acquisition pace grows\n\nHandle additional matters as directed by the General Counsel, maintaining flexibility as organizational priorities evolve\n\nAbout You\n\nExceptional candidates can effectively speak to:\n\nExperience working in the corporate practice of a mid to large-sized law firm, primarily on M&A matters (required).\n\nExperience coordinating and leading deal diligence.\n\nExperience negotiating and drafting deal documents.\n\nIn-house transactional experience (following law firm training) is a plus.\n\nExperience with non-profit law is a plus.\n\nEnjoys the challenge of steep learning curves and seeks responsibility, independence, and decision-making authority, while knowing when to seek direction and guidance from others and how to operate within a team.\n\nStrong project management instincts; you can manage multiple workstreams, track open items, and communicate status clearly to non-lawyers\n\nSharp written and verbal communication skills\n\nA collaborative working style; this role requires close partnership with the GC, finance, business development, and acquired company teams\n\nJ.D. from an ABA-accredited law school; active bar membership in good standing required\n\nAll roles at College Board require:\n\nA passion for expanding educational and career opportunities and mission-driven work\n\nCuriosity and enthusiasm for emerging technologies, with a willingness to experiment with and adopt new AI-driven solutions and comfort with learning and applying new digital tools independently and proactively.\n\nClear and concise communication skills, written and verbal\n\nA learner's mindset and a commitment to growth: welcoming diverse perspectives, giving and receiving timely, respectful feedback, and continuously improving through iterative learning and user input.\n\nA drive for impact and excellence: solving complex problems, making data-informed decisions, prioritizing what matters most, and continuously improving through learning, user input, and external benchmarking.\n\nA collaborative and empathetic approach: working across differences, fostering trust, and contributing to a culture of shared success\n\nAuthorization to work in the United States\n\nAbout Our Process\n\nApplication review will begin immediately and will continue until the position is filled.
