Our operating system will be built around your legal judgment, transaction experience, workflows, checklists, and views on where attorney attention creates the most value.You will help determine what our secondaries offering includes, how matters are staffed and priced, which parts of the transaction can be streamlined through technology, and where attorney judgment must remain central.Third, you will help build the firm. You will contribute to recruiting, mentoring, and developing the attorneys who join after you and help establish the culture and standards they inherit.This is an opportunity to help build a new model for sophisticated transactional legal services and to participate meaningfully in the value created.What you’ll doLead private-company secondary transactions from initial structuring through closingAdvise founders, employees, investors, funds, buyers, sellers, and other transaction participantsReview and negotiate purchase agreements, transfer documentation, company consent materials, investor rights documents, and related transaction documentsNavigate company transfer restrictions, rights of first refusal, co-sale rights, board approvals, securities law considerations, and other transaction-specific issuesDesign and improve the firm’s transaction workflows, diligence processes, drafting systems, and quality-control protocolsTranslate your legal judgment into scalable workflows, playbooks, checklists, and review standardsHelp define the firm’s service offerings, pricing, scope, and client experiencePartner with the founding team to identify where AI and automation can improve speed, consistency, and efficiencyEstablish quality standards for an AI-native transactional practice and determine what must be reviewed by an attorney, by whom, and at what level of depthRecruit, mentor, and develop the associates and partners who join the practiceHelp shape the firm’s culture, professional standards, and long-term growth strategyWho you areA senior corporate, venture capital, private equity, M&A, or secondaries attorney with approximately eight or more years of relevant transactional experienceLicensed and in good standing in California, New York, or another U.S. jurisdictionExperienced in private-company secondary transactions or closely related venture and corporate transactionsComfortable advising sophisticated clients and managing complex transactions from start to finishEntrepreneurial and interested in building a practice rather than simply joining an existing platformExceptional at legal work and deeply focused on delivering an excellent client experienceExcited by the opportunity to design AI-enabled legal services rather than react to changes in the professionComfortable operating in an early-stage environment where priorities evolve and systems are built iterativelyInterested in turning high-quality legal judgment into repeatable, scalable processesCollaborative, practical, and comfortable working closely with a small founding teamNice to haveExperience representing buyers or sellers in private-company secondary transactionsExperience with venture-backed companies, venture capital funds, private equity funds, or emerging-company clientsFamiliarity with legal technology, AI tools, workflow automation, or legal operationsExperience building or managing a practiceExisting relationships with venture capital funds, private equity firms, family offices, founders, investors, brokers, or other participants in the secondary marketExperience working across multiple jurisdictionsWhat success looks like in the first yearThe secondaries practice is live and serving clients across a range of transaction typesYou have helped establish a differentiated, high-quality client experience that combines sophisticated counsel with efficient executionThe transaction workflow is in production, with your judgment reflected in the firm’s intake, diligence, drafting, negotiation, and closing processesThe firm has documented, repeatable standards for legal quality and attorney reviewTransaction turnaround times and operational efficiency improve without compromising legal judgment or client serviceThe foundation is in place to grow the practice through additional attorneys, expanded client relationships, and adjacent transactional servicesYou have helped establish the culture and operating model for the attorneys who join after youCompensationThis role offers founding-partner economics, including meaningful ownership and significant long-term upside, along with a competitive draw.The specific structure will be discussed directly with qualified candidates.
