Corporate/Transactional Attorney

Position OverviewWe are seeking a motivated and detail-oriented Attorney to join our legal team with a strong focus on commercial oil and gas transactions, corporate structuring & governance, and general business support. This role will work closely with executive leadership and cross-functional teams on a variety of legal matters, including mergers & acquisitions, oil & gas development projects, corporate structuring, entity formation and management, compliance, and commercial contracts. This is an entry level position that provides direct legal and administrative support to General Counsel.This is an excellent opportunity for a young attorney looking to gain hands-on experience in a dynamic and fast-paced in-house legal environment.Key ResponsibilitiesAssist with corporate structuring, entity formation & governance matters, including updating and maintaining corporate books and other recordsDraft, review, and negotiate contracts, including NDAs, vendor agreements, service agreements, and other commercial documentsSupport mergers, acquisitions, and other business transactions through document preparation, organization, and due diligence effortsPrepare and file corporate documents, including formations, amendments, annual reports, and related filingsConduct legal research and assist with regulatory compliance mattersCoordinate with internal departments including finance, operations, land, and executive leadership on legal mattersOrganize and maintain legal files, contracts, and corporate recordsAssist with litigation matters as needed, including document collection, case management, and coordination with outside counselProvide general legal support to attorneys and company leadershipQualificationsJuris Doctor (J.D.) from an accredited law schoolLicensed to practice law in Texas or ability to obtain licensure within a reasonable timeframe1–2 years of legal experience preferred, ideally with exposure or a focus on oil & gas, transactional, and corporate lawFamiliarity with contract drafting, review, and negotiationStrong organizational skills with attention to detailAbility to manage multiple priorities in a fast-paced environmentExcellent written and verbal communication skillsPreferred SkillsStrong analytical and problem-solving abilitiesAbility to handle confidential information with discretionProficiency in Microsoft Office (Word, Excel, Outlook, PowerPoint)Ability to work independently while collaborating effectively with cross-functional teamsWork EnvironmentThis position is based in-office and will collaborate closely with executive leadership, finance, operations, land, and external counsel.IndustryOil and GasEmployment TypeFull-time
