Partners at the firm work across corporate, litigation and regulatory practices, and have a well-established Life Sciences Corporate Transactional practice group based out of San Francisco that seeks to hire a lateral senior associate or counsel-level attorney. The Life Sciences group, in particular, is celebrated for its entrepreneurial spirit and its ability to guide emerging and established biopharmaceutical companies through every stage of the corporate lifecycle, from initial venture funding to blockbuster public offerings and strategic exits. Duties Orchestrating comprehensive public capital market initiatives, including Initial Public Offerings (IPOs), follow-on equity offerings, and At-The-Market (ATM) facilities. Navigating complex regulatory requirements and reporting obligations under the Securities Exchange Act of 1934, including the preparation of Forms 10-K, 10-Q, and 8-K. Executing private placement transactions, such as Private Investments in Public Equity (PIPEs) and multi-stage venture capital financing rounds. Structuring and negotiating intricate public and private mergers and acquisitions, with a specific focus on asset-level transactions, product spin-outs, and earn-out-driven deal architectures. Advising dedicated healthcare investment funds on portfolio company management and strategic capital deployment. Qualifications Juris Doctor (J.D.) from a nationally recognized, ABA-accredited law school with a distinguished academic record. Active Bar admission in the State of California or immediate eligibility for reciprocal admission. Four (4) to Eight (8) years of dedicated experience in corporate law, with a primary focus on life sciences or healthcare technology. Proven track record in handling sophisticated securities offerings and M&A transactions within a high-volume, premier law firm environment. Skills Deep technical understanding of the unique valuation and structural nuances of clinical-stage biopharmaceutical companies. Exceptional drafting capabilities regarding complex purchase price adjustments and contingency-based transaction documents. Experience in counseling boards of directors and executive leadership on corporate governance and fiduciary duties during transformative events. Ability to lead multidisciplinary deal teams while maintaining a high degree of precision in time-sensitive transactional environments. #J-18808-Ljbffr
