The role will partner closely with cross-functional stakeholders to enable business objectives while managing legal and commercial risk.Responsibilities and DutiesDraft, review and negotiate a wide range of commercial agreements, including customer, supplier, and partner contractsProvide legal support on technology-focused transactions, particularly within hardware and semiconductor-related contextsAdvise internal stakeholders on contractual rights, obligations, and risk mitigation strategiesSupport negotiations of agreements governed by US law and international frameworksCollaborate with cross-functional teams including sales, procurement, finance, and engineeringContribute to the development and improvement of standard contract templates and processesProvide guidance on intellectual property and licensing considerations within commercial agreementsAssist with open source software licensing matters where relevantManage multiple transactions simultaneously, ensuring timely delivery and alignment with business prioritiesSupport broader corporate and legal initiatives as requiredCandidate ProfileEssentialQualified lawyer in a relevant jurisdiction with strong commercial legal trainingSignificant experience drafting and negotiating commercial contracts in a technology-focused environmentExperience working with agreements governed by the laws of multiple jurisdictions, primarily California and Texas, but also including the laws of England and WalesStrong understanding of contract law and risk allocation principlesAbility to communicate complex legal concepts clearly to non-legal stakeholdersExperience working cross-functionally in a fast-paced, international environmentStrong organizational skills and ability to manage competing prioritiesDesirableExperience within the semiconductor or hardware industryIn-house legal experience within a technology companyFamiliarity with intellectual property licensingExposure to open source software licensingExperience working across UK and US legal frameworkIn addition to a competitive salary, Graphcore offers a competitive benefits package.
