This role is ideal for a candidate with foundational corporate paralegal experience who is looking to develop expertise in a sophisticated, fast-paced legal environment.The Paralegal will work closely with attorneys and senior paralegals to assist with public company reporting, board governance, entity maintenance, and transactional support. The role requires strong organizational skills, attention to detail, and the ability to manage multiple priorities effectively.Reports to: Senior Paralegal, CorporateKey ResponsibilitiesCorporate Governance & Board SupportAssist in the preparation of board and committee materials, including agendas, resolutions, and minutesSupport coordination of board meetings and maintenance of board portalsMaintain corporate records, minute books, and governance documentsAssist with director and officer onboarding and annual questionnairesPublic Company & SEC SupportSupport preparation and filing of certain aspects of SEC reports (Forms 10-K, 10-Q, 8-K, proxy statements)Assist with EDGAR filings and maintenance of EDGAR access codesCoordinate documentation requests for audits and internal reviewsSection 16 & Insider ComplianceAssist with preparation and filing of Forms 3, 4, and 5Maintain Insider Tracking Lists and Compliance CalendarsSupport administration of 10b5-1 trading plansEntity ManagementMaintain corporate entity database, structure charts, and compliance calendarsAssist with entity formations, dissolutions, and state filingsSupport ongoing compliance for domestic and international subsidiariesEquity Administration SupportAssist with equity plan administration, including tracking vesting and exercisesCoordinate with HR, Finance, and third-party administratorsMaintain internal equity records and documentationTransactions & Legal SupportAssist with due diligence and document organization for M&A and financing transactionsSupport execution and tracking of NDAs and standard agreementsMaintain organized, audit-ready legal filesRegulatory & Compliance SupportAssist with KYC/AML requests, due diligence questionnaires, and regulatory filingsPrepare organizational charts and basic ownership summariesQualificationsRequiredBachelor’s degree3-5 years of corporate paralegal or related legal experienceBasic understanding of corporate governance and entity managementStrong organizational skills and attention to detailAbility to manage multiple tasks and meet deadlines in a fast-paced environmentProficiency in Microsoft Office (Word, Excel, PowerPoint)Strong sense of professional ethics, integrity, and accountability in handling confidential and high-stakes mattersPreferredExposure to public company reporting or SEC filingsExperience with legal or entity management systems (e.g., Diligent, Workiva)Paralegal certificate or equivalent trainingNotary Public (or willingness to obtain)Reporting RelationshipsSenior Paralegal, CorporateCompensationThe anticipated base salary range for this position is listed below. Total compensation may also include a discretionary performance-based bonus. Note, the range takes into account a broad spectrum of qualifications, including, but not limited to, years of relevant work experience, education, and other relevant qualifications specific to the role.$100,000-$120,000The firm also offers robust Benefits offerings.
