This is an excellent opportunity for a seasoned corporate attorney who enjoys serving as a trusted advisor to businesses and handling sophisticated transactional and governance matters in a flexible, remote environment.\nResponsibilities\nAdvise clients on mergers, acquisitions, restructurings, and other strategic transactions\nDraft, review, and negotiate a variety of corporate documents and agreements, including:\nOperating agreements\nBylaws\nShareholder agreements\nMember agreements\nPurchase and sale agreements\nCorporate resolutions and governance documents\nCounsel businesses throughout all stages of the corporate lifecycle, from formation to exit\nProvide guidance on corporate governance, entity management, and compliance matters\nSupport corporate reorganizations, recapitalizations, and enterprise restructuring projects\nAssist with financing transactions, private placements, and capital-raising activities when needed\nQualifications\nJ.D. from an accredited law school and active bar admission in at least one U.S. jurisdiction\n8+ years of corporate legal experience\nSignificant experience handling mergers and acquisitions, entity formation, and corporate governance matters\nStrong drafting and negotiation skills across a broad range of transactional documents\nExperience advising private companies and closely held businesses\nExperience supporting clients through complex restructurings and strategic transactions\nCapital-raising experience, including private placements, investor documentation, and financing transactions, is strongly preferred\nPosition Details\nFully remote\nContract opportunity\nApproximately 5–10 hours per week initially\nFlexible schedule\nOpportunity for hours to increase as client needs grow\nOngoing work with a sophisticated and growing remote law firm\nHourly rate: $75–$100 per hour, depending on experience\nIdeal Background\nThis opportunity is ideal for attorneys who enjoy functioning as outside general counsel and providing practical, business-focused legal advice.
